Terms of business
For buying OXO products through the oxofactory.com B2B portal and by other channels (email, phone, sales rep).
Effective from 10 Oct 2026
1. Introduction
The seller is Gips Centrum spol. s r.o., company ID 26034981, VAT number CZ26034981, registered office Hroznová 323/6, 370 01 České Budějovice, registered in the Commercial Register kept by the Regional Court in České Budějovice, section C, file 10519 (the “seller”).
These terms govern the relationship between the seller and a buyer acting in the course of business who identifies with a Czech company ID (IČO) or a valid VAT number of another EU member state (the “buyer”). The relationship is governed in particular by Sections 2079 et seq. of Act No. 89/2012 Coll., the Czech Civil Code. The seller does not sell to consumers through the portal.
Deviating provisions in a written contract between the seller and the buyer take precedence over these terms. The buyer's own terms of business do not apply.
2. Customer account
The buyer signs up in the portal. A sales rep of the seller checks the sign-up and sends the buyer a price offer. There is no legal entitlement to an account.
The buyer keeps the login details safe and is responsible for orders sent from its account. The seller may block or close the account if the buyer breaches these terms or is late with payment.
3. Orders and conclusion of the contract
An order sent through the portal, by email, by phone or through a sales rep is an offer to conclude a purchase contract. The contract is concluded when the seller confirms the order, at the latest on delivery of the goods.
The seller may refuse an order or propose a change, especially for goods that are not available. A changed order binds the buyer only once the buyer agrees. The buyer may change or cancel an order until the goods are shipped.
4. Prices
Prices are on request. The seller gives them to the buyer in an individual offer, and the prices shown to the buyer in the portal on the day the order is sent apply. Prices are in CZK without VAT; VAT is added as required by law.
For a buyer from another EU member state with a valid VAT number, delivery to that state is invoiced without VAT as an exempt supply, provided the legal conditions are met.
5. Delivery
Goods are delivered to the buyer's premises. Delivery within the Czech Republic is free. Delivery to the rest of the EU is free for orders from CZK 10,000 without VAT; for smaller orders the seller states the delivery cost in the order confirmation.
The delivery date in the order confirmation is indicative. The buyer checks the shipment on receipt and notes any damage to the packaging on the carrier's document.
6. Payment
The buyer pays by invoice due in 14 days, or by bank transfer in advance. The seller may require payment in advance from new buyers or buyers who are late with payment.
If the buyer is late with payment, the seller is entitled to statutory default interest and may suspend further deliveries until payment.
7. Transfer of risk and ownership
The risk of damage to the goods passes to the buyer on receipt. Ownership of the goods passes to the buyer on full payment of the price.
8. Storage and shelf life
The buyer stores the goods as stated on the packaging. The seller is responsible for the quality of the goods until the best-before date, provided the goods were stored correctly.
9. Defects and claims
The buyer reports visible defects (missing or damaged goods, wrong goods) within 3 working days of delivery, with photos and the batch number, to info@oxofactory.eu.
The buyer reports hidden defects without undue delay after discovering them, at the latest by the best-before date, and keeps the defective goods for inspection.
For a justified claim, the seller at its choice delivers replacement goods or grants a discount or credit note.
10. Liability
The seller's liability for damage is limited to the price of the goods in the order concerned. The seller is not liable for lost profit. This limitation does not apply to damage caused intentionally or by gross negligence, or to harm to health.
11. Personal data
The processing of personal data is described in the Privacy policy on this website.
12. Final provisions
These terms are governed by Czech law; the UN Convention on Contracts for the International Sale of Goods does not apply. Disputes are decided by the Czech courts competent for the seller's registered office.
The seller may change these terms. It announces a change on the website and by email; the new version applies to orders sent after it takes effect.
In case of doubt, the Czech version prevails.
